Description:
This seminar will compare the corporate law of the U.S. with that of other leading countries, including the U.K. and Germany. Increasing academic attention has been focused on study of how the corporate laws of different countries both resemble each other and differ, and corporate law practice increasingly requires knowledge of the laws of other countries as transnational corporations and deals become more common. Topics covered will include the basic structure of power relationships within the corporation, the fiduciary duties of directors, takeovers, and the legal protection of creditors and other corporate stakeholders.
