Advanced Corporate Law

Course Description:

This course will focus on corporate finance and reorganization. Specifically, the course will explore: methods of financing the corporate enterprise including various capital stock structures, term loans, bonds and debentures; payments to stockholders by way of dividends, redemptions or purchase of shares; and reorganizations including mergers, sales of assets and recapitalization. The course may also familiarize students with the use, advantages and disadvantages of economic analysis in resolving the problems and questions raised by discussion of the before-mentioned subject areas.
