Business Associations/Corporations – 6051

The initial part of this course is an introduction to the general law ofunincorporated business organizations, principally partnerships, limitedpartnerships and limited liability companies. This course then turns tocorporate law, considering both closely-held and public corporations. Among the matters covered are fiduciary duties in both types ofcorporations, corporate governance (including the proxy process andshareholder activism generally), and some basic law governing mergers andacquisitions and takeovers.
