Description:

This course will provide a general corporate overview of a private equity leveraged buy-out and its unique considerations and deal documents, and an introduction to fund-of-fund investing. We will discuss fund-of-fund structuring and deal documentation, as well as the material issues negotiated between General Partners (GP's)and Limited Partners (LP's). In this regard, we will look at the Institutional Limited Partners Association (ILPA) Private Equity Principles. An overview of the regulation of private equity funds will be provided by a co-instructor.
